A Word about Forms of Contract...
There exist three basic forms of Construction Contracts - "Cost Plus", "Lump Sum" and "Cost Plus Guaranteed Maximum Price (GMP)". Each of these forms has various modifications and terms.
Cost Plus has the greatest exposure and is usually reserved for renovation type projects that have many unknowns. This form of contract requires the most rigorous pre construction effort to reduce the unknowns and therefore the risk. This contract form always requires a construction cost audit.
Lump Sum contracts are as their name implies - construct the building for a fixed amount of money. This type of contract is frequently entered into in a competitive bid atmosphere therefore is a "what you see is what you get" approach that typically leads to a higher frequency of change orders. A concerted pre construction effort is required to produce complete and accurate construction documents and then careful monitoring during construction to avoid these probable exposures.
Cost Plus GMP - this popular form of contract is a blend of the two forms described above, it guarantees the maximum cost of the project and allows for the potential of the project costing less if not all monies are expended. This form also requires a concerted effort during pre construction usually with the benefit of the Contractor as a team member. This form of contract also requires skilled analysis of the cost estimate and negotiation of the terms and conditions of the contract. The possibility of change orders is typically reduced significantly. It is highly recommended that this form of contract undergo a final Construction Cost Closeout Audit.
